YOTTA BETA NON-DISCLOSURE AGREEMENT
Effective upon electronic acceptance below.
1. Confidential Information. "Confidential Information" means all non-public information disclosed by Plasma Grid ("Company") to the undersigned beta tester ("Recipient"), including but not limited to: the Yotta application, its algorithms, prediction models, user interface designs, feature roadmaps, source code, documentation, marketing strategies, and any data generated during beta testing.
2. Obligations. Recipient agrees to: (a) maintain all Confidential Information in strict confidence; (b) not disclose, publish, or disseminate Confidential Information to any third party without prior written consent; (c) not reverse-engineer, decompile, or attempt to derive source code from the application; (d) not copy, screenshot, or record the application for distribution; (e) use the application solely for personal evaluation during the beta period.
3. Duration. These obligations survive for two (2) years following termination of beta access.
4. Remedies. Recipient acknowledges that breach of this Agreement may cause irreparable harm and that Company shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
5. Return of Materials. Upon termination of beta access or Company's request, Recipient shall immediately uninstall the application and destroy all copies of Confidential Information in their possession.
6. Governing Law. This Agreement shall be governed by the laws of the State of [Your State], without regard to conflict of law principles.
